Hindustan Markets — Master Terms of Service
Please read these terms carefully. By accessing or using Hindustan Markets, our seller microsites, buyer procurement hubs, or related services, you agree to be bound by all terms outlined herein.
Important Legal Summary for Buyers & Sellers
Hindustan Markets operates strictly as a technology intermediary and digital venue. We do not manufacture, inspect, verify, store, or sell any goods listed on the platform. All documents, certifications, licenses, and catalog data are self-declared by independent sellers who bear complete legal and financial liability.
1. Technology Intermediary & Safe Harbor Status
Hindustan Markets operates strictly as an electronic marketplace intermediary providing a digital communications venue and discovery software for buyers, manufacturers, distributors, and traders. Under applicable intermediary protection laws (including Section 79 of the Information Technology Act, 2000, and equivalent international safe harbor doctrines), the role of Hindustan Markets is limited to facilitating electronic data transmission and hosting third-party content.
Hindustan Markets does not initiate transmissions, select the recipients of transmissions, or modify data contained within third-party uploads. Consequently, Hindustan Markets absorbs zero liability for user-generated transactions, claims, damages, product liability, or fulfillment disputes. All commercial arrangements, contracts, pricing, and deliveries occur strictly between the buyer and the seller.
2. Self-Declared Document Authenticity & Zero Platform Verification
The platform performs zero manual or automated verification, auditing, or endorsement of seller licenses, tax IDs, GST numbers, MSME registrations, ISO certificates, FSSAI certificates, or compliance declarations.
All certifications, compliance badges, and documentation displayed on seller profiles, public storefronts, and microsites are self-declared and uploaded directly by the respective seller under a binding declaration of legal liability and indemnification.
Buyers, procurement officers, and third-party visitors acknowledge that they bear the sole responsibility for conducting independent due diligence, background checks, and verification before executing contracts, issuing purchase orders, or transferring funds. Hindustan Markets disclaims all express or implied warranties regarding the genuineness, legal validity, currency, or authenticity of any document displayed on the service.
3. Binding Seller Indemnification & Legal Warranty
Any seller or merchant who uploads company information, product specifications, pricing, tax identifications, or compliance certificates to Hindustan Markets explicitly represents and warrants under penalty of perjury that:
- All documents, permits, registrations, and certifications are authentic, legally valid, unaltered, and currently active.
- The seller holds all necessary rights, intellectual property permissions, and regulatory approvals to display the documents publicly.
- The seller assumes complete legal, regulatory, and financial liability for the contents of their uploaded documents.
The seller covenants and agrees to defend, indemnify, and hold harmless Hindustan Markets, its parent entities, officers, directors, administrators, employees, and technological infrastructure providers against any and all claims, regulatory actions, penalties, damages, losses, or legal expenses (including reasonable attorney fees) arising from the upload, display, or reliance upon the seller's documents or listings.
4. Dispute Resolution & Commercial Claims
Any and all commercial, legal, or transactional disputes regarding product quality, specifications, delivery timelines, payment terms, or document fraud must be handled directly between the Buyer and Seller.
Hindustan Markets is not a party to any contract of sale between users. While Hindustan Markets may offer software tools such as escrow status tracking or communication channels for mutual convenience, it does not act as an arbitrator, insurer, or judicial mediator. Hindustan Markets shall have zero obligation to resolve, adjudicate, or participate in private commercial disputes or litigation between platform participants.
5. Notice and Take-Down Policy (Administrative Kill Switch)
In adherence to statutory safe harbor guidelines, Hindustan Markets maintains an expedited notice-and-takedown procedure. If any copyright holder, regulatory body, or aggrieved party identifies fraudulent, infringing, or invalid documentation on a seller's microsite, they may submit a formal complaint with relevant substantiation.
Upon receipt of a valid complaint, platform administrators possess the technical authority to immediately execute the administrative take-down kill switch, deactivating the document from public view without prior notice or platform liability.
6. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Hindustan Markets, its officers, directors, or service providers be liable for any indirect, incidental, punitive, special, or consequential damages, loss of profits, loss of data, supply chain disruptions, or business losses resulting from the use or inability to use the platform, or reliance on any seller-provided information.
7. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any legal dispute or proceeding arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts of New Delhi, India.
8. Payment Processing & Refund Policy
All electronic payment collections, escrow milestones, and settlements are conducted through RBI-authorized payment aggregators and banking partners (including Cashfree Payments). Hindustan Markets does not directly hold banking deposits or operate unlicensed custodial trusts.
Order cancellations, return inspection timeframes, and refund disbursements are governed by our dedicated Cancellation & Refund Policy, which is incorporated into these Terms by reference.
